Structural transaction for NCC Industry in Denmark generates capital gain of slightly more than SEK 100 million

Structural transaction for NCC Industry in Denmark generates capital gain of slightly more than SEK 100 million NCC currently owns 50 percent of RGS 90, which produces and markets alternative building products based on recycled materials. The other partner now wishes to develop these operations into an area that is not part of NCC's core business. Against this background, NCC has decided to sell its interest in RGS 90. In connection with the sale, NCC will purchase RN Sten & Grus, an RGS 90 subsidiary whose operations are highly compatible with NCC Industry's current structure. To secure continued cooperation in the field of recycled materials, NCC Industry and RGS 90 have also concluded a long- term agreement in this area. The sales price amounts to approximately SEK 230 million and the transaction will generate a capital gain of slightly more than SEK 100 million for NCC. In 1999, RGS 90 had sales of about SEK 400 million, and NCC's participation in the company's pretax income amounted to nearly SEK 25 million. RN Sten & Grus had sales of about SEK 60 million in 1999. RGS 90 became a member of the NCC Group in part through the acquisition of Rasmussen & Schötz in 1996 and in part through purchases from a third principal owner. The transaction will become effective on December 31, 2000 and the capital gain on the sale will be included in the NCC Group's fourth-quarter earnings.
