Conversion of Nightingale Health Plc’s EMP shares to Series B shares

The Board of Directors of Nightingale Health Plc (“Nightingale Health”) has in its meeting on 21 November 2024 approved request of shareholders to convert 6,020 EMP shares to Series B shares in accordance with Article 5 in the Articles of Association.
As a result of conversion of shares, the number of the Nightingale Health’s Series A shares is 19,526,438, Series B shares is 40,302,841 and EMP shares is 1,098,800. The conversion does not affect the total amount of shares which is 60,928,079. The number of votes of Nightingale Health’s shares after the conversion is 235,567,221.
The conversions of shares were registered in the Trade Register on 23 December 2024. The converted shares will be listed on the Nasdaq First North Growth Market Finland marketplace together with the old shares on 27 December 2024.
