Resolutions adopted at Nobina’s Annual General Meeting 2010

On Monday, May 10th 2010, Nobina held its Annual General Meeting (the "Meeting") at the company’s premises in Solna. The Meeting approved the consolidated income statement and balance sheet for the fiscal year 2009/1010, and resolved that there would be no dividend for the previous fiscal year. Birgitta Kantola, Rolf Lydahl, Thomas Naess and Jan Sundling were re-elected as Directors of the Board, and Jan Sjöqvist was re-elected Chairman of the Board of Directors. Gina Germano declined re-election. The Meeting approved the compensation to the Board for 2010/2011 of SEK 1,325,000, according to the resolution proposed. Fees to the auditors shall be as per approved bill. The Meeting authorized the Board, for the period up to the next Annual General Meeting, on one or several occasions and with or without pre-emption rights for the shareholders, to resolve to issue new shares, as suggested by the Board of Directors. The Meeting also approved the establishment of a nomination committee, according to the resolution proposed by the Board of Directors. Furthermore the Meeting approved the Board’s resolution concerning guidelines for remuneration to senior executives, and decided on the issuance of warrants to subscribe for new shares, as well as the disposal of the warrants issued pursuant to the terms of the employment agreement with the CEO.
