Norway Royal Salmon (NRS) – Flagging

Trondheim, 12. February 2020.

Reference is made to the flagging of 20. January 2020 stating that Frøy Gruppen AS (“Frøy Gruppen”) received 6,993,188 shares in Norway Royal Salmon ASA (“NRS” or the “Company”), equivalent to 16.05% of the issued shares and votes in NRS, from Gåsø Næringsutvikling AS (“Gåsø Næringsutvikling”). Gåsø Næringsutvikling is the sole shareholder of Frøy Gruppen, and the transfer was a part of a reorganization made in connection with the contemplated transfer of the stockholding to NTS ASA (“NTS”).  The transfer to NTS shall be carried out by way of merger of Frøy Gruppen and Herkules Invest 316 AS (“Herkules Invest 316”), a wholly owned subsidiary of NTS.

Today, on 12. February 2020, a shareholders meeting was held in NTS, in which the merger plan and the issuance of consideration shares were approved.

The merger is expected to be completed before 1st April 2020.

Herkules Invest 316 will by completion of the merger own 6,993,188 shares in NRS, equivalent to 16.05% of the issued shares and votes in NRS. NTS, as the sole shareholder of Herkules Invest 316, will thus indirectly be the owner of shares in NRS. After this, Gåsø Næringsutvikling will no longer own any shares in NRS.

Pursuant to the agreement between Gåsø Næringsutvikling and NTS, Gåsø Næringsutvikling shall retain the right to any dividend from NRS for 2019, which shall be paid in 2020, within a limit deemed acceptable for the NTS board.
