Norway Royal Salmon (NRS) – Mandatory notification of trade and disclosure of large shareholding

Havbruksinvest AS ("Havbruksinvest") has today notified the Norwegian Register of Business Enterprises of completion of a share capital decrease in Havbruksinvest through by way of distribution of 3 198 511 shares in Norway Royal Salmon ASA ("NRS" or the "Company"), owned by Havbruksinvest.

Following completion of the distribution, Havbruksinvest will hold 990 693 shares in NRS, corresponding to 2.27% of the issued shares and votes in NRS. Following completion of the distribution Havbruksinvest will be 100% controlled by Karl Olaf Jørgensen, who jointly with close associates control Hellesund Fiskeoppdrett AS. Hellesund Fiskeoppdrett AS further holds 3.86% of the shares in NRS. Consolidated, Karl Olaf Jørgensen will indirectly control 2 674 099 shares in NRS, corresponding to 6.14% of the issued shares and votes in NRS.

The shares in NRS have been distributed to shareholders in Havbruksinvest, and the distribution has resulted in the following shareholders triggering disclosure thresholds:

• Måsøval Eiendom AS, 661 089 shares, corresponding to 1.52% of the shares and votes in NRS. Following completion of the distribution, Måsøval Eiendom AS holds 6 234 200 shares, corresponding to 14.31% of the issued shares and votes in NRS. As previously announced, shares distributed to Måsøval Eiendom AS in connection with the share capital reduction shall, pursuant to separate agreement, be transferred to Midt-Norsk Havbruk AS. A separate announcement will be made following completion of the transaction.

• Egil Kristoffersen og Sønner AS, 688 136 shares, corresponding to 1.58% of the shares and votes in NRS. Following completion of the share issuance Egil Kristoffersen og Sønner AS holds 4 529 906 shares, corresponding to 10.40% of the issued shares and votes in NRS.
   

Egil Kristoffersen og Sønner AS is a close associate to Eva Marie Kristoffersen, board member and primary insider of NRS. For further information, reference is made to the attached disclosure form.

In addition, Gåsø Næringsutvikling AS has been allocated 1 234 116 shares, corresponding to 2.83% of the issued shares and votes in NRS. Gåsø Næringsutvikling AS is a close associate to Helge Gåsø, chairman of the board and primary insider of NRS. For further information, reference is made to the attached disclosure form. Following completion of the distribution, Gåsø Næringsutvikling AS holds 1 385 699 shares, corresponding to 3.18% of the issued shares and votes in NRS.
