NYAB Plc: Organizing of the Board of Directors

NYAB Plc’s Board of Directors, that was elected by today’s Annual General Meeting, has elected Markku Kankaala as Chairman of the Board and Jan Öhman as Vice Chairman of the Board in its organizing meeting.

Board of Directors has made the following assessment of independence of its members:

  • Jari Suominen, Lars-Eric Aaro, Anders Berg, Barbro Frisch and Jan Öhman are independent of the company and its major shareholders
  • Markku Kankaala is not independent of the major shareholders of the company, as he owns 21.2% of Andament Group Oy, whose shareholding in NYAB Plc is 19.1%
  • Johan K Nilsson is not independent of the company, as he is a partner of an attorney firm that provides legal services for NYAB group companies regarding projects that belong to their business operations
  • Johan Larsson and Mikael Ritola are not independent of the company nor its major shareholders, as they both own 50% of Holding Investment Förvaltning I Luleå AB, whose shareholding in NYAB Plc is 34.1%. In addition, Johan Larsson is the CEO of NYAB Plc and Mikael Ritola a member of the Executive Management Team

Board of Directors has also appointed members for its committees. Remuneration committee continues to consist of Jari Suominen (Chairman), Johan Larsson and Mikael Ritola. Audit committee continues to consist of Jan Öhman (Chairman), Barbro Frisch, Johan K Nilsson and Markku Kankaala.
