Plejd’s announces the outcome of the exercise of warrants of series 2020/2023

The annual general meeting on 29 April 2020 resolved to issue warrants to employees of Plejd AB (“Plejd” or the “Company”). On June 19, 2023, the period for exercising the warrants to subscribe for shares in Plejd ended. In total, 472 000 warrants were exercised for subscription of the same number of shares. 

The Annual General Meeting on 29 April 2020 resolved on an incentive program for employees of Plejd through the issue of a maximum of 500,000 warrants of series 2020/2023, which through the Company's subsidiary, Plejd Services AB, were transferred to employees of the Company. Each warrant entitled the holder to subscribe for one new share at a subscription price of SEK 86 during the period from 5 June 2023 up to and including 19 June 2023. In total, 472 000 warrants have been exercised for subscription of the same number of shares, meaning that the Company will receive SEK 40 592 000. 200,000 of the warrants were limited to be finally transferred to employees who already held warrants of series 2018/2021, as they had chosen to waive warrants of series 2018/2021 in favor of acquiring warrants of series 2020/2023.
The exercise of warrants of series 2020/2023 for subscription of shares means that the Company's share capital will be increased by SEK 70,800 from SEK 1,606,008 to SEK 1,676,808 and that the number of shares in the Company will be increased by 472,000 shares from 10,706,720 to 11,178,720 shares. 
The share subscription entails a dilution for existing shareholders with approximately 4,4 percent of the total number of shares and votes in the Company.
