COMMENTS TO KAPSCH TRAFFICCOM AG’S ACQUISITION OF SHARES IN Q-FREE ASA
Reference is made to today’s disclosure of Kapsch Trafficcom AG’s (“Kapsch”) acquisition of 20.4% of the outstanding shares in Q-Free ASA (“Q-Free”) for NOK 10 per share.
The board of Q-Free is surprised by the approach from Kapsch, and has to date not received any information regarding the background for its acquisition of shares. Accordingly, the board of Q-Free has at present no basis for evaluating Kapsch`s ultimate strategic intentions and rationale. The board of Q-Free notes that Kapsch is its largest competitor, and expects to receive information from Kapsch regarding their intentions and rationale shortly.
The board of Q-Free is of the opinion that the company has a strong market position and has shown a strong operational and financial development over the last years as an independent and stand alone company. Hence, the board’s initial reaction is that the price paid does not reflect the underlying value of the business, and are of the opinion that the company will continue to create strong returns to shareholders as an independent company.
None of the primary insiders in Q-Free has sold or has an intention to sell shares to Kapsch.
The board of Q-Free has retained SEB Enskilda to advise on and actively evaluate all options available to Q-Free in the current situation.
