Change in number of shares and votes in Samhällsbyggnadsbolaget i Norden AB
Pursuant to the Swedish Financial Instruments Trading Act, Swedish companies whose shares are listed on a regulated market and that increase or reduce the total number of shares or votes in the company must disclose such changes on the last trading day the same month.
Samhällsbyggnadsbolaget i Norden AB (publ) (“SBB”) announced a recommended public offer to the shareholders of Hemfosa Fastigheter AB (publ) (“Hemfosa”) on 15 November 2019. On 23 December 2019, SBB declared the offer unconditional and extended the acceptance period. The consideration shares in SBB that were registered with Euroclear during February 2020 as part of the public offer increased the number of class B shares by 3,650,061 and class D shares by 366,940.
Furthermore, common shares in Hemfosa were acquired from Syquant Capital (to a price not exceeding the price in the completed public offer), where part of the consideration consisted of 6,575,281 class B shares in SBB that were registered with Euroclear during February 2020. Due to the acquisition of common shares in Hemfosa being lower than previously intended, the number of issued class B shares in SBB is lower than what was communicated by SBB on 24 February 2020.
As such, the number of shares increased by 10,592,282 and the number of votes increased by 1,059,228.20 in total during February 2020.
As of 28 February 2020, there are 1,374,643,260 shares and 326,444,067.90 votes in SBB distributed as follows:
Common shares class A: 209,977,491 shares and 209,977,491 votes
Common shares class B: 1,058,115,105 shares and 105,811,510.50 votes
Common shares class D: 106,519,951 shares and 10,651,995.10 votes
Preference shares: 30,713 shares and 3,071.30 votes
