SBB sets transaction terms for the listing of the subsidiary Sveafastigheter

Samhällsbyggnadsbolaget i Norden AB (publ) ("SBB") has determined the price range and number of shares to be sold in connection with Sveafastigheter AB's (publ) ("Sveafastigheter") initial public offering on Nasdaq First North Premier Growth Market (the "Listing"). In connection with the Listing, SBB's subsidiary SBB i Norden AB (the "Seller") will offer a maximum of 88 million shares (including the over-allotment option), corresponding to 44 percent of the total number of shares, in Sveafastigheter. The shares will be offered in a price range of SEK 39.5 to SEK 45.5. The proceeds from the sale will be used to strengthen SBB's balance sheet and thereby improve SBB's financial position. The offer, including other terms and conditions, will be announced in, and made through, Sveafastigheter's prospectus which is intended to be published today.

The sale of shares in Sveafastigheter and the Listing is a step in SBB's strategy to decentralise the Group structure by establishing wholly and partly owned business units. SBB benefits from creating business units that can independently create better financing flexibility, improved financial reporting, increased specialisation, enabling faster decision-making and promoting closer cooperation with tenants, thereby creating additional value. The diversification of SBB's ownership under the strategy through the sale of shares in subsidiaries will provide SBB with a capital injection that can be used to strengthen SBB's financial position and reduce the company's debt.

The intended Listing will be carried out through an ownership distribution, whereby existing shares in Sveafastigheter amounting to a maximum of 44 percent and currently owned by the Seller will be offered to the general public in Sweden and to qualified investors in Sweden and internationally in accordance with applicable rules and applicable exemptions. Shareholders in SBB as of 27 September 2024 will have priority to subscribe for shares in the Listing on the same terms and conditions as other investors, subject to any restrictions that may result from applicable securities legislation.

SBB sees that Sveafastigheter is and will continue to be a first choice among municipalities, which contributes to profitable property development and a good supply of rental apartments. Residential properties are a very attractive property type that over long time series have generated high returns at low risk compared to other asset classes. My assessment is that residential property in particular will benefit from strong rental growth and falling capital costs. Sveafastigheter will continue to be one of SBB's core holdings and will after the intended listing become Sweden's largest listed housing company with approximately 14,500 apartments under management and approximately 7,900 apartments in project development or under construction. As of 30 June 2024, Sveafastigheter owns attractively located rental apartments worth SEK 27.5 billion, including properties under management and new construction. Based on the earnings capacity as of 30 June 2024, Sveafastigheter generates rental income of approximately SEK 1.5 billion with a net operating income of approximately SEK 1.0 billion.
