Update regarding bondholder allegation
Following the results and completion of the Exchange Offers referred to in the press releases dated 18 December 2024 and 23 December 2024, SBB Treasury Oyj and Samhällsbyggnadsbolaget i Norden AB (publ) (together referred to as “SBB”) have been notified that:
- Fir Tree Capital Opportunity Master Fund LP and Fir Tree Value Master Fund LP (as the First and Third Claimants) have now discontinued their claims against SBB because they no longer hold any Notes which are the subject of the ongoing legal proceedings; and
- Fir Tree Credit Opportunity Master Fund LP (formerly Fir Tree Capital Opportunity Master Fund III LP) (as the Second Claimant) also decreased its holdings in the Notes to EUR 7.5 million spread across both 2020 and 2021 EMTN programmes which remain the subject of the ongoing legal proceedings.
The sole remaining claimant, Fir Tree Credit Opportunity Master Fund LP (formerly Fir Tree Capital Opportunity Master Fund III LP) has now filed amended particulars of claim to decrease the amount of the Notes subject to the proceedings from the original EUR 46 million to EUR 7.5 million.
As previously stated, SBB firmly rejects that it is in breach of the EMTN consolidated coverage ratio. SBB is well prepared and remain confident ahead of the trial in the High Court which is now set to begin on the 14 January 2025.
