Sardus Annual General Meeting

- Two new Board members - Unchanged dividend The AB Sardus Annual General Meting on April 5, 2005 approved the Board's and President's proposal of a dividend for the 2004 fiscal year of SEK 5.00 (5.00) per share. The record date for the dividend will be April 8, 2005 and payment is expected to be made from VPC on April 13, 2005.

Board of Directors Raoul Hasselgren was re-elected Chairman, as well as Ulf Brasen, who was elected Vice Chairman. In addition, Board members Elisabet Annell, Göran Havander, Rolf Lydahl, Bo Pettersson and Lisbeth Sachs were re-elected. Andreas Falkenmark, President of Observer Sweden and Fredrik Svensson, President of Arvid Svensson Invest, which is Sardus' largest single owner, were elected new Board members. President Ragnar Bringert resigned as a Board member elected by the Meeting, but will be co-opted as well as a reporter to the Board. The Meeting resolved to increase the Board fee from SEK 1,050,000 to SEK 1,550,000, due partly to the expansion with two members not employed by the company and in accordance with a fee review carried out. Change in Articles of Association The Meeting approved the change in the Swedish wording of the Articles of Association that was required so that name of the nomination committee could be changed in accordance with a recommendation in the Swedish Code of Corporate Governance. Repurchase program The Meeting resolved to continue the repurchase program comprising a maximum of 10 percent of the company's shares until the Annual General Meeting in 2006. The purchase shall be undertaken via the Stockholm Stock Exchange, or in accordance with a purchase offer to all Sardus' shareholders. The purpose of the repurchase program is to be able to continuously adapt Sardus' capital structure to the company's capital requirements and to facilitate financing, wholly or in part, in conjunction with company acquisitions. There were no repurchases of own shares during 2004 and Sardus' holding of own shares at year-end 2004 was 197,696 shares and at today's date 0 shares.
