Proposal for new Board of Directors for SAS AB

Proposal for new Board of Directors for SAS AB Shareholders representing more than 61 percent of the number of votes for all shares in SAS AB have informed the company that, at an Extraordinary Shareholders´ Meeting for SAS AB on November 6, 2001, they will support the proposal presented below. (The numbering below refers to the numbering in the proposed agenda published previously for the Extraordinary Shareholders´ Meeting for SAS AB.) 9. Election of Board members For the period until the close of the next Annual Shareholders´ Meeting, it is proposed that Egil Myklebust, Chairman of Norsk Hydro, Berit Kjøll, President of Flytoget AS, Fritz H. Schur, President of the companies in the Fritz Schurgruppen, Anitra Steen, President of Systembolaget AB, Lars Rebien Sørensen, President of Novo Nordisk A/S and Jacob Wallenberg, Deputy Chairman of the Knut and Alice Wallenberg Stiftelse be elected as Board members. On the condition that the proposed persons are elected as members of the Board, the shareholders who have expressed their support for the proposal have also informed the company that they wish the Board to elect from among its members Egil Myklebust as Chairman of the Board. 10. Election of a nominations committee for future Board elections Ramsay Brufer, Alecta, Thomas Egebo, Trafikministeriet (the Danish Ministry of Transport), Henrik Heideby, PFA, Pia Rudengren, Wallenbergstiftelserna, Reier Søberg, Næringsdepartementet (the Norwegian Ministry of Industry), Ragnhild M. Wiborg, Odin Forvaltning and Claes Ånstrand, Näringsdepartementet (the Swedish Ministry of Industry), are proposed as members of the nomination committee for the nomination of Board members prior to the election of the Board at the next Annual Shareholders´ Meeting.
