SCAN BIDCO A/S SUCCESSFULLY ISSUES A SENIOR SECURED DUAL-TRANCHE BOND TO FINANCE THE ACQUISITION OF SCAN GLOBAL LOGISTICS

Scan Bidco A/S, a newly established acquisition vehicle, has successfully issued a senior secured dual-tranche bond in the amount of USD 70 million and DKK 200 million (the “Bonds” or the “Bond Issue”). The proceeds from the Bond Issue will be used to help finance the acquisition of all outstanding shares in Scan Global Logistics Holding ApS (the “Company”) (the “Acquisition”).

Furthermore, subject to closing of the Acquisition, it is the intention that the Company’s currently outstanding 2015/2018 DKK 375 million bonds (ISIN DK0030363163) will be repaid in full. For the avoidance of doubt, such repayment will be announced by way of a formal call notice to be released by the Company upon closing of the Acquisition.

The Bonds, maturing in 2022, will bear a fixed annual coupon of 7.70 per cent for the USD tranche and 6.80 per cent for the DKK tranche, with interest paid quarterly. The Bonds will be listed on Nasdaq Stockholm or another regulated market within one year of the issue date.

The transaction was well received by the market, with participation primarily from Swedish, Danish and Finnish institutional investors. Altogether, approximately 40 investors participated in the issue.
