Erik Penser Bank AB (“Erik Penser Bank”) and Skandinaviska Enskilda Banken AB (“SEB”) have been engaged by Standout Capital I AB (“Standout Capital”) to explore the opportunity to sell 1.5 million shares to Swedish institutional investors and international institutional investors in an accelerated book-building procedure (the “Placement”) in Exsitec Holding AB (“Exsitec” or the “Company”).

The price per share in the Placement and the final number of shares to be offered will be determined at the close of the accelerated book-building procedure. The book-building procedure will commence immediately after the publication of this press release and end before the commencement of trading on Nasdaq First North Growth Market on 30 June 2021. The book-building procedure may be cancelled, shortened, or closed at any time on short notice at the discretion of Erik Penser Bank, SEB and Standout Capital. Further announcements will be made following completion of the book-building.

Standout Capital’s current holding amounts to 3,000,000 shares, representing 25.6% of the total number of shares in Exsitec.

Standout Capital has entered a lock-up undertaking in favour of Erik Penser Bank encompassing their total holdings in Exsitec, corresponding to 3,000,000 shares. Erik Penser Bank considers the Placement will increase long-term institutional ownership and increase liquidity in Exsitecs share and is therefore willing to grant an exemption from the lock-up undertaking. Standout Capital’s remaining shares in the Company after the Placement will remain subject to a lock-up undertaking in favour of Erik Penser Bank until 16 September 2021, save for customary exceptions as well as pledges for financing transactions and waiver by Erik Penser Bank.

Erik Penser Bank and SEB act as joint bookrunners in connection with the contemplated Placement.
