Sliedrecht, the Netherlands / Stockholm, Sweden - February 23, 2010 – Business software company UNIT4 and supplier for wholesale and distribution software IBS AB (publ) (“IBS”) have today announced that they have reached an agreement on the acquisition of IBS Consist (“Consist”) by UNIT4. IBS will retain its IBS Enterprise and Iptor operations in the Netherlands. Consist has built up a strong position in the Dutch market for 30 plus years in the areas of financial management and human resources management software, with products such as FIS, FMS and EMIS. Consist has established a client base of 600 medium-sized businesses and organizations. Consist had a revenue exceeding € 15 million in 2009, with an EBITDA margin of more than 25%. Recurring revenue contributes approximately 50% of the total revenue. The cost of the acquisition will be fully funded from UNIT4’s internal cash resources. The objective is for Consist to currently maintain its own unique position within UNIT4’s Benelux organization, with the aim of further strengthening the position of UNIT4 in the Netherlands by means of the reciprocal transfer of expertise and cross-selling. ”We expect to see further consolidation in our sector in the coming years with many acquisition opportunities for UNIT4”, says Chris Ouwinga, CEO of UNIT4. “To reinforce our position in the service sectors, we will increasingly focus on additional and complementary functionalities in the areas of financial management and HRM.
