Disclosure of large shareholding – NattoPharma ASA

On 22 March 2021, Compagnie des Levures Lesaffre, who on 8 March 2021 launched a voluntary offer for all of the shares in NattoPharma ASA (the "Offer"), acquired 106,556 additional shares in NattoPharma.

Subsequent to this acquisition, Compagnie des Levures Lesaffre owns a total of 993,256 shares in NattoPharma, representing 5.01% of the total outstanding share capital of the company on a non-diluted basis.

In addition, Compagnie des Levures Lesaffre has as previously disclosed secured irrevocable pre-acceptances of the Offer and agreements with the option holders to acquire the shares the option holders acquire upon exercise of the options for in total 13,694,532 shares representing 65.10% of the shares in NattoPharma following issuance of the option shares (i.e. on a fully diluted basis excluding treasury shares). Consequently, Compagnie des Levures Lesaffre has secured shares and rights to acquire shares in NattoPharma amounting to 14,687,788 shares, representing 69.82% of the share capital on a fully diluted basis excluding treasury shares.
