Uppdatering av refinansieringsprocess

Den 1 augusti 2012 genomfördes en tillfällig förlängning av Nobina Europes obligationslån, med ny förfallodag den 31 oktober 2012. Nära 100 procent av obligationsinnehavarna avser att acceptera den nu föreslagna refinansieringslösningen.

Den föreslagna refinansieringslösningen innebär att cirka 25 procent av det gamla obligationskapitalet konverteras till aktier utgivna av Nobina AB, vilket motsvarar 95 procent av ägandet i Nobina AB. Resterande del av obligationskapitalet refinansieras i en ny obligation utgiven av Nobina Europe AB med nedanstående indikativa villkor.

• Obligation i svenska kronor, med en euro tranche vilken ska gå att växla till svenska kronor
• Notering på Nasdaq OMX i Stockholm
• Fem års löptid med en put option för innehavarna efter två år, villkorat av en stark kassauppbyggnad i bolaget
• Årlig kontantbetalad kupong på 11 procent
• Möjlighet till återköp till nominellt belopp under hela löptiden

Ovanstående förutsätter en extra bolagsstämma i Nobina AB för att emittera de aktier som obligationsinnehavarna ska erhålla, samt för att hantera ledningens incitamentsprogram.
