Deutsche Börse AG receives final regulatory approval in respect of its takeover offer

With reference to e.g. SimCorp A/S' (SimCorp or the Company) announcements of 25 May 2023 (no. 11/2023), of 7 June 2023 (no. 13/2023), of 7 July 2023 (no. 16/2023) and of 28 July 2023 (no. 18/2023) concerning Deutsche Börse AG's (Deutsche Börse) all-cash voluntary takeover offer to acquire all of the issued and outstanding shares (except treasury shares) in SimCorp (the Offer), Deutsche Börse has today announced that it has received the last regulatory approval relating to the Offer. Completion of the Offer remains subject to, among others, a minimum acceptance level of 50 per cent plus one share of all SimCorp shares.
SimCorp reiterates that the offer period for the Offer expires on 19 September 2023 at 23:59 (CEST).
SimCorp shareholders who have not yet accepted the Offer but wish to do so are advised to accept the Offer prior to the expiry date of 19 September 2023 at 23:59 (CEST). It should be noted that some institutions may have earlier deadlines than 19 September 2023 for submission of the acceptance form. The Offer is expected to be settled and thus completed on 29 September 2023 at the latest.

SimCorp shareholders are advised to read the offer document (the Offer Document), as amended by the supplement regarding Deutsche Börse's extension of the initial offer period (Supplement no. 1) and as further amended by the additional supplement regarding Deutsche Börse's extension of the offer period (Supplement no. 2), and the statement published by the Company whereby the Board of Directors decided to recommend the shareholders of SimCorp to accept the Offer (Board Statement) in their respective entirety before deciding whether to accept the Offer.
