Orgo Tech AB ska genomgå en ny noteringsprövning och kommer fortsatt handlas på observationslistan

Aktierna i Orgo Tech AB (”Orgo Tech” eller ”Bolaget”) är sedan den 16 mars 2020 observationsnoterade efter att Bolaget den 13 mars 2020 offentliggjort pressmeddelandet “Orgo Tech ingår avtal om att förvärva HUBSO AB” och den 16 mars 2020 offentliggjort pressmeddelandet ”Tilläggsinformation ang. ingångna avtal om att förvärva HUBSO AB”. Spotlight bedömde därav att Bolaget genomgick en väsentlig förändring.
Den 15 april 2020 offentliggjorde Orgo Tech AB att dess extra bolagsstämma godkänt förvärvet av HUBSO AB genom pressmeddelandet “Kommuniké från extra bolagsstämma i ORGO TECH AB // Tillträde av 83.5% av aktierna i HUBSO AB 2020-04-15”.
Mot bakgrund av ovanstående information bedömer Spotlight att Orgo Tech genomgår en genomgripande förändring i dess verksamhet. Spotlight har därför, på sedvanligt sätt, beslutat att Bolaget ska genomgå en ny noteringsprövning som villkor för Bolagets fortsatta notering. Syftet med noteringsprövningen är att säkerställa att Bolaget uppfyller samtliga noteringskrav.
Under noteringsprövningen sker handeln i Orgo Techs finansiella instrument på observationslistan enligt gällande Regelverk, med målet att så snart som möjligt, om noteringsprövningen godkänns, flyttas tillbaka till den ordinarie listan. I det fall Bolaget inte kommer att kunna uppfylla noteringskraven kommer Spotlight att besluta om avnotering. Spotlight Stock Market

Orgo Tech AB will be subject to a new listing process and will continued to be traded on Spotlight’s observation list
On March 13, 2020 Orgo Tech AB (”Orgo Tech” or ”the Company”) announced the press release “Orgo Tech ingår avtal om att förvärva HUBSO AB” and on March 16, 2020, announced the press release ”Tilläggsinformation ang. ingångna avtal om att förvärva HUBSO AB”. In reference to the information, Spotlight considered that the Company was undergoing a far-reaching change in the business of the Company.
On April 15, 2020, the Company announced the press release “Kommuniké från extra bolagsstämma i ORGO TECH AB // Tillträde av 83.5% av aktierna i HUBSO AB 2020-04-15”.
In reference to the disclosed information, Spotlight consider that Orgo Tech is undergoing a far-reaching change in the business of the Company. In accordance with the current rules, Spotlight has therefore decided that the Company will be subject to a new listing process. The reason for the new listing process is to ensure that the Company fulfil all the terms in the listing requirements.
In connection to the listing process Orgo Tech’s shares will continue to be traded on Spotlight’s observation list, in accordance with the Rulebook. Spotlight will, given approval of the listing process, work towards a fast transfer to the ordinary list. If the Company is not able to fulfil the terms in the listing agreement Spotlight will delist the Company.Spotlight Stock Market
