PharmaLundensis AB flyttas till observationslistan / PharmaLundensis AB will be transferred to Spotlight Stock Market’s observation list

PharmaLundensis AB har sedan den 17 februari 2020 inte en registrerad styrelseordförande hos Bolagsverket. Enligt aktiebolagslagen (2005:551) 8 kap 17§ måste ett publikt aktiebolag ha en styrelseordförande. Spotlight bedömer därför att väsentlig osäkerhet råder kring bolagets ledning och kontroll.
Spotlight finner även att PharmaLundensis AB inte uppfyller Spotlights noteringskrav avseende styrelse, Spotlights regelverk punkt 2.11 och punkt 2.12.
Mot bakgrund av att det råder väsentlig osäkerhet kring Pharmalundensis AB och då bolaget inte uppfyller noteringskraven, har Spotlight med hänvisning till Spotlights regelverk punkt 6.1 beslutat att observationsnotera PharmaLundensis AB:s aktier (PHAL).
Spotlight kommer löpande pröva möjligheten att återföra PharmaLundensis AB:s aktie från observationslistan.

PharmaLundensis AB will be transferred to Spotlight Stock Market’s observation list
Since February 17, 2020, PharmaLundensis AB does not have a chairman registered at the Swedish Companies Registration Office (in Swedish Bolagsverket). According to the Companies Act (2005: 551) Chapter 8, § 17 a public limited company must have a chairman of the board. Spotlight therefore assesses that there is material uncertainty about the company’s management and control.
Furthermore, Spotlight have assessed that PharmaLundensis AB does not meet Spotlight's listing requirements regarding the board of directors, according to Spotlight's regulations paragraph 2.11 and paragraph 2.12.
As a consequence of the fact that there is material uncertainty about PharmaLundensis AB and that the company does not meet the listing requirements Spotlight has, with reference to Spotlight's regulations paragraph 6.1, decided to transfer the shares of PharmaLundensis AB (PHAL) to the observation list.
Spotlight will continuously evaluate the possibility of returning PharmaLundensis AB’s financial instruments from the observation list.
