Sectra’s distributor in the Netherlands becomes wholly owned subsidiary

Sectra is increasing its ownership interest in the Dutch company ImaXperts BV from 20% to 100%. The company has 12 employees and reported sales of EUR 2.5 million in fiscal year 2005. The operations will be consolidated within the Sectra Group as of December 1, 2006.

“The acquisition of ImaXperts strengthens our position and provides us the possibility to expand in Benelux,” says Torbjörn Kronander, President of Sectra Imtec AB. “The acquisition is fully in line with our goal to broaden distribution channels and the service organization in strategically important markets,” adds Torbjörn Kronander.

ImaXperts’ operations focus on the sales and service of medical imaging systems and digital mammography systems in the Netherlands, Belgium and Luxemburg (Benelux). The company has been successfully distributing Sectra’s medical systems since autumn 2005.

“Our goal is to become a leading supplier of medical imaging systems and digital mammography in Benelux,” says Peter Osinga, Managing Director of ImaXperts BV.

“As part of the Sectra Group we can provide and support our customers even better with cutting-edge, safe and clinically proven medical imaging solutions that are used by nearly thousand healthcare institutions around the world,” says Wim Schuur, Vice President of Sales ImaXperts BV.

The acquisition has no immediate impact on Sectra’s earnings and financial position. The agreement comprises a purchase price paid in cash and a supplementary payment linked to a positive business development during the next four years. Combined, the purchase price and supplementary payment could amount to a maximum of SEK 30 million.
