Sivers IMA completes a directed new share issue of 11,844,582 shares, raising proceeds of SEK 82 million

The board of directors of Sivers IMA Holding AB (”Sivers IMA” or the ”Company”) has, as communicated in the Company’s press release earlier today, resolved to carry out a directed new share issue of 11,844,582 shares (corresponding to 10 percent of the total number of outstanding shares and votes in the Company) at a subscription price of SEK 6.90 per share. The share issue was over-subscribed with large interest from institutional investors. Through the directed new share issue, Sivers IMA will receive proceeds amounting to SEK 82 million before transaction costs.
The board of directors of Sivers IMA has, based on the authorization given by the annual general meeting on May 22, 2019, and as communicated in the Company’s press release earlier today, resolved to carry out a directed new share issue of 11,844,582 shares to institutional investors (the “Directed New Share Issue”). The Directed New Share Issue was subscribed for by institutional investors and a number of existing institutional owners. The transaction was carried out through an accelerated book building procedure by the Company’s financial advisor Pareto Securities AB (“Pareto Securities”).
The subscription price in the Directed New Share Issue is set to SEK 6.90 and has been determined through the book building procedure. Through the Directed New Share Issue, Sivers IMA will raise SEK 82 million before transaction costs. The subscription price in the Directed New Share Issue constitutes a discount of approximately 5.5 percent compared the closing price on 4 June 2019.
The Directed New Share Issue entails a dilution of approximately 9 percent of the number of shares and the votes in the Company. Through the Directed New Share Issue, the number of outstanding shares and votes will increase by 11,844,582 from 118,445,825 to 130,290,407. The share capital will increase by SEK 5,922,291.00 from SEK 59,222,912.50 to SEK 65,145,203.50.
The reason for the deviation from the shareholders’ preferential rights are to diversify the shareholder base among Swedish and international institutional investors and at the same time raise capital in a time efficient manner in order to meet the increasing demand from customers. Sivers IMA is in a positive growth phase and has received a number of new contracts and design wins from major international players active in fiber and fifth generation mobile networks (5G). The proceeds from the Directed New Share Issue will be used to strengthen the Company within customer facing activities to handle all new customers and requests. In addition, the proceeds from the Directed New Share Issue will to be used for further investments in the development of next generation 5G chip-sets and supplementary investments in CST Global for increased manufacturing capacity. The board of directors’ assessment is that the subscription price in the Directed New Share Issue is in accordance with market conditions, since it was determined through an accelerated book building procedure.
In order to facilitate the delivery of shares to the investors in connection with the Directed New Share Issue, as expected for 10 June 2019, Rothesay Limited and Global Edge Capital Inc. have together lent 11,844,582 shares to Pareto Securities. The shares will be returned after the Directed New Share Issue has been registered with the Swedish Companies Registration Office, which is expected to occur on or about 13 June 2019.
In connection with the Directed New Share Issue, the Company has undertaken, with customary exceptions, not to issue additional shares for a period of 360 calendar days after the outcome of the Directed New Share Issue. In addition, board members [1] and persons of the management [2] have undertaken not to sell any shares in Sivers IMA for a period of 90 calendar days after the outcome of the Directed New Share Issue, with customary exceptions [3].
