Recommendations of Skandia's Nominating Committee
Recommendations of Skandia's Nominating Committee Skandia's Nominating Committee recommends that T. Willem Mesdag and Eero Heliövaara be elected as new directors on Skandia's board. In addition, the Committee recommends that Lars Ramqvist and Johan Fr. Odfjell be re- elected to the Board. All nominations are for a two-year term. T. Willem Mesdag, b. 1953, is Managing Director of Goldman, Sachs & Co., Los Angeles, California, and Eero Heliövaara, b. 1956, is Chief Investment Officer of Ilmarinen Mutual Pension Insurance Company, Helsinki. The Stockholm Chamber of Commerce and the Swedish Consumer Agency have, for the next year, appointed Melker Schörling and Boel Flodgren, respectively, as policyholder representatives on Skandia's board. Pirkko Alitalo will be resigning from Skandia's board at the 2000 Annual General Meeting. If the Annual General Meeting votes in accordance with the recommendations of the Nominating Committee, Skandia's board of directors will increase from five to six members, and will be composed as follows: Lars Ramqvist, Bengt Braun, Boel Flodgren, Eero Heliövaara, T. Willem Mesdag, Johan Fr. Odfjell, Lars-Eric Petersson, and Melker Schörling, plus three employee representatives. Skandia's Nominating Committee has six members. The chairman is the chairman of the board of Skandia. Of the other members, three represent the major shareholders, one the minor shareholders (the chairman of the Skandia Shareholders Association), and one the policyholders of Skandia Liv (appointed by the Stockholm Chamber of Commerce). The Nominating Committee's recommendation has the support of shareholders representing just under 20 per cent of the shares in Skandia.
