The Annual General Meeting (AGM) resolved on March 22, 2013, that the board of directors should consist of four ordinary directors. The AGM resolved to re-elect Mauri Visuri, Teuvo Jurvansuu and Joanna Kuntonen-Van´t Riet and to elect Jarmo J. Vesanto as new director. Mauri Visuri was re-elected chairman of the board of directors. The AGM also resolved to re-elect the auditing company PWC until the end of the Annual General Meeting 2014, with Martin Johansson as the head auditor for the time being.

The AGM approved the proposal of the board of directors and the CEO for the appropriation of earnings. The AGM further resolved that no dividends shall be paid for 2012. The guidelines for remuneration for the management and the procedure for appointing the members of the nomination committee were approved in accordance with the proposals from the board of directors.

The AGM approved the nomination committee’s proposal for annual fees to the board of directors with a total of SEK 450.000.

The AGM resolved, for the period until next annual general meeting, to authorize the board of directors, at one or several occasions, to issue new shares or other financial instruments. The authorization is limited to a maximum dilution of ten (10) percent of the total number of shares outstanding at the time of the first board resolution in accordance with the authorization.
