Speqta AB (publ) repurchase warrants

The holders of warrants of incentive programs 2021/2024 A and 2021/2024 B have chosen to use the post-sale purchase right for 800,000 warrants and Speqta AB (publ) (the “Company”) has, considering the new settings for the business as well as the proposed incentive programs to the Annual General Meeting 2022, chosen to repurchase the warrants. 

The Company currently has four outstanding share-based incentive programs, Incentive Program 2019/2022 C and Incentive Program 2019/2022 D as well as Incentive Program 2021/2024 A and Incentive Program 2021/2024 B. All programs are warrant-based, and the number of outstanding warrants amounts to 2,110,000. The holders of warrants have entered into a post-sale purchase right agreement with the Company for the warrants.
 
The holders of warrants under Incentive Program 2021/2024 A and 2021/2024 B has chosen to use the post-sale purchase right for a total of 800,000 warrants, meaning that the Company may repurchase these warrants. In connection with the restructuring of the Company’s business as previously communicated, two new incentive programs have, based on the strategic development, been proposed to the Annual General Meeting of the Company on 25 May 2022, and the intention is to offer certain board members, senior executives and key employees an opportunity to acquire new warrants, provided that the Annual General Meeting resolves upon the proposed incentive programs.
 
Considering the new settings for the business as well as the proposed incentive programs for the Annual General Meeting 2022, the Company has resolved to repurchase the warrants from the holders of warrants. Repurchase will be made at the market value of the warrants and repurchased warrants will be cancelled.
