Acer Inc. calls for conversion of convertible bond

STOCKHOLM (4 April 2019) – Acer Inc. has called for a conversion of its convertible bond 2016/2018 in Starbreeze AB (publ) and pursuant hereto the convertible bond will be converted into 4 072 295 new shares of series Starbreeze B. 

In June 2016, Acer issued a convertible bond to Starbreeze amounting to 75 515 400 SEK. The bond terms have subsequently been approved 2016 and amended 2018 by the extraordinary general meeting of shareholders.

Acer has called for a conversion of the convertible bond to shares in accordance with the terms for the convertible bond. The current debt in the bond amounts to 71 713 114 SEK including interest. The conversion price per share is 17,61 SEK and 4 072 295 shares of series Starbreeze B will be made out to Acer Inc.

After the conversion, the total share capital in Starbreeze will be 6 587 357 SEK, divided on a total of 329 367 849 shares where 53 397 677 are series A and 275 970 172 are series B. The total amount of votes will amount to 809 946 942.

On December 3, 2018, Starbreeze, including a number of subsidiaries, entered into reconstruction. After the conversion to shares as above, the company’s frozen debt in the reconstruction is reduced with the same amount as the convertible bond, i.e. 71 713 114 SEK.

The Stockholm District Court has approved that Starbreeze reconstruction period continues until June 3, 2019.
