On 5 June 2023, Symrise AG (“Symrise”) announced a mandatory public offer to the shareholders of Swedencare AB (publ) (“Swedencare”) at SEK 37.50 per share (the “Offer”). The acceptance period for the Offer commenced on 21 June 2023 and expired on 26 July 2023. As announced on 28 July 2023, the Offer was accepted by shareholders with a total of 270,521 shares in Swedencare, corresponding to a total of 0.17 percent of the share capital and votes in Swedencare.

In accordance with previously published press releases, Symrise has acquired a total of 8,891,018 additional shares in Swedencare outside the Offer, of which the highest price paid per share has amounted to SEK 58.50 per share. Shareholders who accepted the Offer have therefore been entitled to an additional compensatory consideration of in total SEK 21.00 per share, i.e. the difference between SEK 58.50 and the price in the Offer of SEK 37.50.

Today on 3 January 2024, Symrise has acquired an additional 8,344,367 shares in Swedencare through market purchases. The highest price paid for the Swedencare shares acquired outside the Offer amounts to SEK 64.00 per share. Shareholders who accepted the Offer will therefore receive an additional compensatory consideration of SEK 5.50 per share, i.e. the difference between SEK 64.00 and the preceding highest price paid of SEK 58.50 per share.

Compensation is expected to be paid out on or around 12 January 2024.

As of the date of this press release, Symrise owns 65,267,430 shares, corresponding to approximately 41.1180 percent of the share capital and votes of Swedencare.
