CVC Funds[1] and Nordic Capital[2], through the jointly owned company Teniralc BidCo AB (“Teniralc”)[3], announced on 29 June 2022 a public offer to the shareholders in Cary Group Holding AB (publ) (“Cary Group”) to tender any and all shares in Cary Group to Teniralc at a price of SEK 65 in cash per share that was increased to SEK 70 in cash per share on 7 September 2022 (the “Offer”). In connection with Teniralc's announcement of the increased price in the Offer, the independent bid committee of Cary Group's Board of Directors unanimously recommended all shareholders in Cary Group to accept the Offer.

The extended acceptance period for the Offer ended on 22 September 2022. Today, Teniralc announces that:

  • All conditions for completion of the Offer have been fulfilled. Accordingly, the Offer is declared unconditional and Teniralc will complete the acquisition of the shares tendered in the Offer.
  • The shares in Cary Group tendered in the Offer at the end of the extended acceptance period amount to 90,770,616 shares in Cary Group (corresponding to approximately 68.8 percent[4] of the share capital and votes in Cary Group).
  • The shares in Cary Group tendered in the Offer at the end of the extended acceptance period, together with the 39,560,593 shares in Cary Group already indirectly owned by Nordic Capital through Cidron Legion S.à r.l. that will be contributed to Teniralc in connection with the completion of the Offer, amount to 130,331,209 shares in total, corresponding to approximately 98.8 percent of the share capital and votes in Cary Group.
  • Teniralc has resolved to further extend the acceptance period for the Offer up to and including 7 October 2022 to provide the remaining shareholders time to accept the Offer.

At the end of the extended acceptance period on 22 September 2022, a total of 90,770,616 shares in Cary Group have been tendered in the Offer (corresponding to approximately 68.8 percent of the share capital and votes in Cary Group). Together with the 39,560,593 shares in Cary Group already indirectly owned by Nordic Capital through Cidron Legion S.à r.l. (corresponding to 30 percent of the share capital and votes in Cary Group) that will be contributed to Teniralc in connection with the completion of the Offer, the total number of shares in Cary Group held or otherwise controlled by Teniralc amounts to 130,331,209 shares, corresponding to approximately 98.8 percent of the share capital and votes in Cary Group.

Apart from the above, neither Teniralc, CVC Funds or Nordic Capital nor any of their closely related companies or other closely related parties owned any shares or other financial instruments in Cary Group that give a financial exposure to Cary Group’s shares at the time of the announcement of the Offer. Neither Teniralc, CVC Funds or Nordic Capital nor any of their closely related companies or other closely related parties have acquired any shares or other financial instruments in Cary Group outside the Offer. Teniralc, CVC Funds and Nordic Capital, or any of their closely related companies or other closely related parties, may acquire shares in Cary Group outside the Offer during the extended acceptance period, however not at a price exceeding SEK 70 per share.

All conditions for completion of the Offer have been fulfilled. Accordingly, the Offer is declared unconditional and Teniralc will complete the acquisition of the shares tendered in the Offer. Settlement for shares tendered in the Offer up to and including 22 September 2022 is expected to be initiated on or about 30 September 2022.

On 24 August 2022, Teniralc announced that the acceptance period for the Offer had been extended until 9 September 2022 and on 7 September 2022, Teniralc announced that the acceptance period had been further extended to 22 September 2022. To provide the remaining shareholders in Cary Group who have not yet tendered their shares time to accept the Offer, the acceptance period will be further extended up to and including 7 October 2022 at 15.00 (CEST). Settlement for shares tendered in the Offer during the further extended acceptance period is expected to be initiated on or about 17 October 2022.

The offer document regarding the Offer was published on 6 July 2022 and supplements to the offer document have been published on 9 August 2022 and 12 September 2022.

Since the Offer is now unconditional, shareholders who have accepted the Offer, or shareholders who accept the Offer during the further extended acceptance period, have no right to withdraw their acceptances.

Teniralc will initiate compulsory redemption proceedings under the Swedish Companies Act (2005:551) (Sw. aktiebolagslagen (2005:551)) to acquire all remaining shares in Cary Group and promote a delisting of Cary Group's shares from Nasdaq Stockholm.

Teniralc, CVC Funds and Nordic Capital have retained Carnegie Investment Bank AB as financial advisor and Teniralc has retained Advokatfirman Cederquist and Roschier Advokatbyrå as legal advisors in connection with the Offer. CVC Funds have thereto retained Roschier Advokatbyrå as legal advisor and Nordic Capital has retained Advokatfirman Cederquist as legal advisor in connection with the Offer.
