Terveystalo has gained title to all shares in Feelgood

On 27 July 2021, Terveystalo Plc (“Terveystalo”) announced that its wholly owned subsidiary Terveystalo Healthcare Oy (“Terveystalo Healthcare”) had acquired in aggregate 97.42 percent of the shares and votes in Feelgood Svenska AB (publ) (“Feelgood”) after the completion of the recommended mandatory cash offer to the shareholders of Feelgood to tender all their shares in Feelgood to Terveystalo Healthcare for a consideration of SEK 5.70 (at the time, approximately EUR 0.566) in cash per share (the “Offer”). Terveystalo further announced that Terveystalo Healthcare had initiated compulsory redemption of the remaining shares in Feelgood. Feelgood’s shares were delisted from Nasdaq Stockholm on 6 August 2021.

 

The arbitral tribunal in the compulsory redemption proceedings has now ruled that Terveystalo Healthcare has the right and obligation to acquire the remaining shares in Feelgood, that Terveystalo Healthcare is granted title to the remaining shares in Feelgood, and that Terveystalo Healthcare shall pay a preliminary redemption price of SEK 5.70 (approximately EUR 0.555) per share plus statutory interest. The planned date for payment to the minority shareholders is 20 December 2021, at which time a payment per share in Feelgood of SEK 5.75 (approximately EUR 0.560) will be made, consisting of the preliminary redemption price of SEK 5.70 (approximately EUR 0.555) and statutory interest of SEK 0.05 (approximately EUR 0.005).

 

As a consequence of Terveystalo Healthcare having been granted title to the remining shares in Feelgood, Terveystalo Healthcare now owns 100 percent of the shares and votes in Feelgood.
