Resolutions of Toivo Group Plc’s Extraordinary General Meeting 31 August 2022

Toivo Group Plc, Company release 31 August 2022 at 10 a.m.

The Extraordinary General Meeting of Toivo Group Plc (the “Company”) was held today on 31 August 2022 in Helsinki, Finland.

The General Meeting adopted the following decisions:

Members of the Board of Directors

The number of the members of the Board of Directors was confirmed to be five (5). Jonna Toikka was elected as new board member.

Amendment of the Articles of Association

The General Meeting decided that the Company’s Articles of Association be amended by adding a new clause no. 11 which reads in its entirety as follows:

”11. GENERAL MEETING’S PLACE AND REMOTE MEETINGS

A General Meeting may be organized at the domicile of the company or at Espoo as decided by the Board of Directors.

A General Meeting may also be convened remotely without a physical meeting place so that all persons participating to the meeting shall participate through an online telecommunications connection and technical device. A shareholder participating in the remote meeting shall be able to use all of its shareholders’ rights in equal manner to General Meetings organized in a physical meeting place.”

Otherwise, the Articles of Association remain unamended.

The Minutes of the Extraordinary General Meeting

The minutes of the Extraordinary General Meeting will be available on the Company’s website at investors.toivo.fi on 14 September 2022 at the latest.
