TRANSCOM ACQUIRES LEADING GERMAN DEBT COLLECTION BUSINESS

Transcom WorldWide S.A. (“Transcom”), the European CRM and collections specialist, today announced that it has acquired 100% of Dr. Finsterer + Koenigs Inkasso GmbH (“Dr. Finsterer + Koenigs” or “the Company”) for a cash consideration of €8 million, with a further €1 million payable depending on performance. Established in 1983, Dr. Finsterer + Koenigs is one of the leading debt collection agencies in Germany. The Company reported revenues of €8.5 million in 2005 and expects to record margins in line with the European industry average in the coming year. The purchase will be funded out of Transcom’s existing cash balances and will be paid upon completion. A further consideration of €1 million is payable in two instalments, in December 2006 and December 2007, subject to the Company meeting certain performance-related criteria. The operations will be consolidated in Transcom’s accounts with effect from 1 January 2006. Based in Tönisvorst, Germany, Dr. Finsterer + Koenigs operates on a commission collection basis and employs 90 people. Senior management personnel have signed long-term contracts to remain with the business under the new ownership structure.
