TRANSCOM ACQUIRES UK DEBT COLLECTION BUSINESS

Transcom WorldWide S.A. (“Transcom”), the European CRM and debt collections specialist, today announced that it has acquired 100% of Credit & Business Services Limited (“CBS” or “the Company”) for a cash consideration of £2.25 million (€3.26 million), with a further consideration of £2.25 million (€3.26 million) in a performance-based earn out. CBS reported revenues of £3.3 million (€4.8 million) in fiscal year 2005 and expects to record margins in line with the European industry average in 2006. The purchase will be funded out of Transcom’s existing cash balances. A further consideration of £250,000 (€362,200) is payable in six months subject to the Company achieving certain profitability targets. An additional consideration of up to £2 million (€2.9 million) is payable in two years based on a multiple of seven times pre-tax profit. CBS’s operations will be consolidated in Transcom’s accounts with effect from 1 March 2006. Established in 1994 and based in St. Albans, England, CBS operates on a commission collection basis and employs 45 people. Senior management personnel have signed long-term contracts to remain with the business under the new ownership structure.
