United Bankers Plc’s shareholders’ proposals to the Annual General Meeting 2024
United Bankers Plc’s shareholders representing approximately 40 per cent of all shares and votes in the Company (31 December 2023) have submitted a proposal to the Annual General Meeting to be held on 22 March 2024 for the number of members of the Board of Directors, the composition of the Board of Directors and its remuneration.
Proposal for the number of members and composition of the Board of Directors
The shareholders propose that the number of the Board members be confirmed seven (7). The shareholders propose that all current Board members, Johan Linder, Rasmus Finnilä, Rainer Häggblom, Tarja Pääkkönen, Lennart Robertsson and Eero Suomela be re-elected, and that Elisabeth Dreijer von Sydow be elected as new member of the Board. All nominees have given their consent to the election. The term of members of the Board of Directors shall expire at the end of the Annual General Meeting 2025.
Proposal for remuneration of the Board of Directors
The shareholders propose that the remuneration of the Board members remain unchanged, so that the annual remuneration of the Chair of the Board of Directors be EUR 35,000 and that the annual remuneration of those Board members who are not employed by the United Bankers group of companies be EUR 25,000. The remuneration is proposed to cover the entire term and committee work. Travel expenses are proposed to be reimbursed according to the travel policy of the Company.
According to the shareholders’ proposal, Board members employed by the United Bankers Group shall not be paid any remuneration.
The shareholders’ and the Board of Directors’ proposals to the Annual General Meeting to be held on 22 March 2024 will be announced in connection with the notice to the Annual General Meeting.
