Volvo Cars today welcomes over two hundred thousand new shareholders as it today announces the outcome of the initial public offering and listing on Nasdaq Stockholm. The offering was substantially oversubscribed as it attracted strong interest from institutional investors in Sweden and abroad as well as from the general public in the Nordics. Trading on Nasdaq Stockholm commences today, 29 October 2021.

The offering in brief: 

  • The price per share in the offering has been set at SEK 53, which corresponds to a market capitalisation for Volvo Cars of SEK 158 billion for all outstanding shares in the company
  • The new issue of 377,358,490 common shares of class B will raise gross proceeds of SEK 20 billion to the company, securing the funding of Volvo Cars’ fastest transformer strategy and the delivery of its mid-decade ambitions.
  • To cover any over-allotments in connection with the offering, Geely Sweden has granted the Joint Global Coordinators an option to acquire up to an additional 56,603,773 common shares of class B, corresponding to maximum 15 per cent of the number of shares in the offering (the “Overallotment Option”).
  • If the Overallotment Option is exercised in full, and including the converted investments from AMF and Folksam, the resulting free float corresponds to approximately 17.9 per cent.
  • The total value of the offering amounts to SEK 20 billion, and SEK 23 billion if the Overallotment Option is exercised in full.
  • There are customary lock up undertakings in place for Volvo Cars and Geely Sweden of 180 days, and for Volvo Cars’ executive management and board of directors of 360 days after the first day of trading.  
  • Trading in the Volvo Cars share on Nasdaq Stockholm commences today, 29 October 2021, under the trading symbol “VOLCAR B”. Settlement is expected to take place on 2 November 2021.

Volvo Cars’ commitment to electrification has also resulted in the launch of Polestar, a progressive stand-alone electric performance car brand, in which Volvo Cars currently own 49.5 per cent. Volvo Cars is also holding 30 per cent of the fast-growing automotive brand LYNK&CO, which focuses on young open-minded urban people through a flexible customer offering.

Stabilisation Measures

In connection with the offering, Joint Global Coordinators (with Skandinaviska Enskilda Banken AB (publ) (”SEB”) in charge) may effect transactions aimed at supporting the market price of the common shares of class B at levels above those which might otherwise prevail in the open market. Such stabilisation transactions may be effected on Nasdaq Stockholm, in the over-the-counter market or otherwise, at any time during the period starting on the date of commencement of trading in the shares on Nasdaq Stockholm and ending no later than 30 calendar days thereafter. The Joint Global Coordinators (with SEB in charge) are, however, not required to undertake any stabilisation and there is no assurance that stabilisation will be undertaken.

Stabilisation, if undertaken, may be discontinued at any time without prior notice. In no event will transactions be effected at levels above the price in the offering. No later than by the end of the seventh trading day after stabilisation transactions have been undertaken, the Joint Global Coordinators (with SEB in charge) shall disclose that stabilisation transactions have been undertaken in accordance with Article 5(4) of the Market Abuse Regulation 596/2014. Within one week of the end of the stabilisation period, the Joint Global Coordinators (with SEB in charge) will make public whether or not stabilisation was undertaken, the date at which stabilisation started, the date at which stabilisation last occurred and the price range within which stabilisation was carried out, for each of the dates during which stabilisation transactions were carried out.
