Board resolution regarding the repurchase of shares

Today’s Annual General Meeting of Wallenstam AB (publ) on 24 April 2018 resolved to authorize the board to take decisions concerning the acquisition of the company’s own shares up until the next AGM. At the Statutory Board meeting that immediately followed the AGM, the Board resolved to use this authorization on the basis of the conditions stipulated by the AGM.

Purchase can be made on Nasdaq Stockholm of as many of its own B shares, such that the company’s holding at any one time does not exceed 10 percent of all shares in the company. Such acquisitions shall take place within the prevailing price range at any given time (i.e. the spread between the highest buying price and lowest selling price).

The purpose of the authorization to acquire the company’s own shares is to provide the Board with the freedom of action to adjust the company’s capital structure and create value for the company’s shareholders. 

The current holding of own shares amounts to 6,000,000 B shares.
