Wallenstam Annual General Meeting, 2000 The Annual General Meeting of Lennart Wallenstam Byggnads AB was opened by Sören Mannheimer, who handed over the chairmanship to Gunnar Larsson, Chairman of the Board of the football club IFK Göteborg. The General Meeting was held on 23 May in Gothenburg. The Board was elected/re-elected in accordance with the proposal presented, i.e. Sören Mannheimer, Christer Villard, Marie-Anne Lervik Nivert, Lennart Svensson, Anders Berntsson and Hans Wallenstam were re- elected and Erik Åsbrink was elected as a new member of the Board. Auditors and deputy auditors were elected/re-elected as proposed, i.e. auditors Lennart Bertheden and Håkan Jarkvist and deputy auditor Jan Hammar were re-elected and Helen Eklund was elected as a new deputy auditor. The General Meeting confirmed the consolidated accounts for 1999 and discharged from liability the Members of the Board and the Managing Director for their administration. It was also decided that the dividend be raised to SEK 1.25/share (0.75) as proposed by the Board. The record date for the payment of dividends is 26 May, 2000, and it is estimated that the Swedish Securities Register Office (Värdepapperscentralen AB) will distribute this dividend on Wednesday, 31 May, 2000. The Meeting decided in favour of changes in the articles of association (§ 3 and § 9) as follows: § 3. The objective of the company's operations is to engage in business involving building construction, property management, trade in properties and securities and other operations associated therewith. § 9. .This notice shall be published in Post & Inrikes Tidningar, Svenska Dagbladet and Göteborgs Posten. The Meeting decided in favour of authorising the Board to decide on the acquisition and/or transfer of Series A and/or B shares in Lennart Wallenstam Byggnads AB up until the next annual general meeting. A maximum of 10 per cent of the total number of shares in the company, may be acquired.
