Senior executives purchase warrants in Mr Green & Co
Seven senior executives of the AktieTorget-listed Mr Green & Co AB have purchased warrants in the Company. The subscription price for the share is to be set at SEK 68 and the price of the warrant is SEK 0.50.
On 19 March 2014, Mr Green & Co’s Extraordinary General Meeting resolved to issue a maximum of 1,400,000 warrants.
The subscription price for the share is to comprise an amount corresponding to 200% of the volume-weighted average price paid for the share on AktieTorget during the period from and including 5 March 2014 up to and including 18 March 2014. The average price for the period was SEK 34 and the subscription price is thus SEK 68.
Each warrant entitles the holder to subscribe for one new share in the Company. In accordance with the terms and conditions of the warrants, shares can be subscribed for during the period from and including 20 March 2017 up to and including 20 April 2017.
The increase in Mr Green & Co’s share capital on full exercise of the warrants will amount to a maximum of SEK 1,400,000, corresponding to a dilution of approximately 3.76%.
The individuals who purchased the warrants are:
- Mikael Pawlo – 250,000 warrants
- Bo Wänghammar – 250,000 warrants
- Marcus Nylén – 150,000 warrants
- Henrik Svensson – 150,000 warrants
- Keld Knudsen – 40,000 warrants
- Thomas Rosander – 40,000 warrants
- Angelo Dalli – 40,000 warrants
The Company has a unilateral right of redemption in the event an that the individual who has purchased the warrants terminates his/her employment/cooperation with Mr Green prior to the subscription period, which is from and including 20 March 2017 up to and including 20 April 2017.
