Statement from AcadeMedia's board regarding the change of ownership

Mellby Gård, who is the largest owner of AcadeMedia since 2016, has announced that it will sell its shares to the Akelius Foundation (trough Akelius Apartments Ltd). The Akelius Foundation will thus become the new main owner of AcadeMedia when the relevant authorities have approved the transaction.

AcadeMedia's board makes this statement regarding the company getting a new main owner:

  • AcadeMedia's strategy is laid down in Roadmap 2030. It states that continued international expansion is important, Roadmap 2030 also has a strong focus on educational quality and sustainability.
  • We look forward to meeting AcadeMedia's new main owner. The board will shortly invite Akelius to discuss the road forward.
  • The transaction in which Mellby Gård sells all shares in AcadeMedia to Akelius Foundation requires approval from the Inspectorate for Strategic Products. For compulsory and upper secondary schools, the School Inspectorate must also carry out an ownership check. In the 38 municipalities where AcadeMedia has preschools, each municipality must carry out an ownership review of the new owner. These approval processes are expected to be completed in the first half of 2024.
  • An extraordinary general meeting will be held within two months to elect new members.
  • AcadeMedia's board will continue to work for equal treatment of all shareholders. There are clear rules for listed companies, and these will of course be followed.
  • AcadeMedia's 2023 annual general meeting decided to authorize the board to implement a voluntary share redemption program, that process continues as planned.
  • When it comes to capital structure and capital allocation, for example dividends, it is a question for all shareholders. Decision if dividend is to be made is taken at the annual general meeting following the board's recommendation according to AcadeMedia's dividend policy.
