Composition of the Board of Directors of Aktia Bank plc and remuneration in 2015
The Board of Supervisors of Aktia Bank plc has today elected the Board of Directors and confirmed the remuneration of the members of the Board of Directors in the calendar year 2015.
The Board of Supervisors decided not to change the number of members of the Board of Directors, and confirmed the number of members as seven.
Taking the current composition of the Board of Directors and the company's development stage into consideration, the Board of Supervisors decided to re-elect all the present members of the Board, i.e. Sten Eklundh, Hans Frantz, Kjell Hedman, Catharina von Stackelberg-Hammarén, Arja Talma, Dag Wallgren and Nina Wilkman. Further, the present Chairman Dag Wallgren was appointed as Chairman and the present Vice Chairman Nina Wilkman as Vice Chairman of the Board of Directors. All members of the Board are independent in relation to Aktia Bank plc and in their relationships with significant shareholders.
The Board of Supervisors decided to increase the annual remuneration for members of the Board of Directors by 10%, following their increased responsibility and restrictions put on members of a Board in a credit institution. Thus the following annual remuneration is paid:
Chair EUR 58,300 p.a. (2014: 53,000)
Vice Chair EUR 33,000 p.a. (2014: 30,000)
Member EUR 25,850 p.a. (2014: 23,500)
The total increase in annual remuneration is paid in the form of Aktia A shares, so that 35% of the annual remuneration is paid in the form of A shares. The remuneration for attended meetings remains unchanged, i.e. EUR 500 per attended meeting and EUR 1,000 per committee meeting to committee chairmen.
