GRANT OF SHARE OPTIONS TO EMPLOYEES AND PRIMARY INSIDERS, ATEA ASA

The Annual General Meeting 30 April 2013, authorized the Board of Directors to establish share option programs for Atea management and key personnel representing up to 3,000,000 options.

The share options have been granted to managers, key personnel and executive managers, a total of 167 persons, in line with the guidance approved at the Annual General Meeting. It has been prepared for that the incentives to the management shall be derived from the bonus scheme (which is subject to limitations) and options to acquire shares in the company. By such means the incentives of the management are more aligned with the interests of the shareholders.

A total of 2,736,000 share options have been granted to the primary insiders listed below and to a total of 167 employees in Atea. The options have an exercise price of NOK 57.25, which corresponds to the closing price of 2 May.

The following primary insiders have been granted share options:

Rune Falstad has been granted 100,000 options. Following the grant Rune Falstad holds 166,667 options and 74,500 shares in Atea ASA.

Steinar Sønsteby has been granted 150,000 options. Following the grant Steinar Sønsteby holds 216,667 options and 0 shares in Atea ASA.

Arunas Bartusevicius has been granted 100,000 options. Following the grant Arunas Bartusevicius holds 100,000 options and 23,587 shares in Atea ASA.

Anders Brix has been granted 50,000 options. Following the grant Anders Brix holds 60,000 options and 4,000 shares in Atea ASA.

Ole Johan Fjellestad has been granted 10,000 options. Following the grant Ole Johan Fjellestad holds 10,000 options and 0 shares in Atea ASA.

Chris Sørum has been granted 10,000 options. Following the grant Chris Sørum holds 20,001 options and 0 shares in Atea ASA.

All options must be exercised within three years of entering into the option agreement. 1/3 of the options granted may be exercised one year after the grant, 1/3 after year two and 1/3 after year three.
