EOS Russia - Update on recent developments

EOS Russia (the Company) was informed on 8 March 2022 by Nasdaq Nordic that trading in the Company’s shares listed on Nasdaq First North Growth Market is suspended with immediate effect. The decision stems from the fact that the Moscow Exchange (MOEX) has remained closed since the start of Russia’s military invasion of Ukraine on 24 February. The Chairman of the Board of EOS Russia granted entry into Russia

In a press release dated 1 April 2015, EOS Russia disclosed that Mr Seppo Remes, the Chairman of the Board of Directors and a Finnish national residing in Russia for the previous 22 years, had been informed by the Russian authorities that he would no longer be permitted to enter the Russian Federation.  The company is pleased to report that as of now, Mr Remes is once again able to travel freely to and from Russia.”

EOS Russia terminates CEO contract as part of cost cutting measures

As part of a range of cost-cutting measures now being implemented, the Board of Directors has decided to terminate the employment contract of Ulf-Henrik Svensson, the CEO of EOS Russia AB. For the time being, Mr Svensson will continue to manage the day-to-day affairs of the company. The Board of Directors is now reviewing options for the operational management of the company with a view to putting in place new permanent arrangements as soon as possible.

EOS Russia's new synthetic share buyback program

Pursuant to the synthetic buyback authorization given by the annual general meeting on 10 April 2013, EOS Russia has entered into a swap agreement with SEB AB that will allow for buybacks to be recommenced subject to normal regulatory restrictions. This program will start on Tuesday 27 August 2013. EOS Russia AB’s (publ) Nominating Committee has been appointed

In accordance with the decision taken at EOS Russia’s Annual General Meeting 2012, a Nominating Committee has been appointed among two of the largest shareholders of the company and the Chairman of the Board.
