    Essity publishes its Annual and Sustainability Report for 2020

    Hygiene and health company Essity has today published its Annual and Sustainability Report for 2020 on www.essity.com.“During 2020, the COVID-19 pandemic had a major impact on people and the global economy. Essity has had three priorities: care for our people, contribute to society and secure business success. COVID-19 and related lockdowns and restrictions had a negative impact on Essity’s sales.     According to Essity’s articles of association, owners of Class A shares have the right to have such shares converted to Class B shares. Conversion reduces the total number of votes in the company. When such a conversion has occurred, the company is obligated by law to disclose any such changes in this manner.In February, at the request of shareholders, 600 Class A shares were converted to Class B shares. The total number of votes in the company thereafter amounts to 1,257,952,737. The total number of registered shares in the company amounts to 702,342,489 of which 61,734,472 are Class A

    Essity raises EUR 700m in the bond market

    Essity has today raised EUR 700m in the bond market under its Euro Medium Term Note (EMTN) program. The reoffering yield for the bond was 0.289% with a maturity on February 8, 2031, corresponding to mid swaps +0.47 percentage points.The bond offering was oversubscribed, and the transaction was placed with more than 100 investors.  The bonds will be listed on the Luxembourg Stock Exchange. The purpose of the issue is to refinance maturing bond loans and to finance operations.  Danske Bank, JP Morgan, Nordea, and UniCredit Bank acted as joint bookrunners for the transaction.

    Bulletin from the Extraordinary General Meeting of Essity

    The Extraordinary General Meeting today resolved in accordance with the Board’s proposal to pay a dividend of SEK 6.25 per share.The record date was set at October 30, 2020. The dividend is expected to be paid on November 4, 2020. Pursuant to the temporary legislation in place due to COVID-19, the Meeting was held through a postal vote without the physical attendance of shareholders. Minutes from the Extraordinary General Meeting will be available on the company website, www.essity.com, within two weeks.

    Essity Aktiebolag (publ) (”Essity”) gives notice of the Extraordinary General Meeting to be held on Wednesday, October 28, 2020.In order to reduce the spread of infection and to comply with regulations and general guidelines issued by the authorities, the Extraordinary General Meeting will, in accordance with temporary legislation, be held only by advance voting (postal voting).     Essity proposes dividend of SEK 6.25

    Essity AB’s Board of Directors is proposing a dividend of SEK 6.25 per share and that the dividend proposal be addressed at an Extraordinary General Meeting on October 28, 2020.During the spring, the Board of Directors withdrew its original dividend proposal. This was a consequence of the great uncertainty surrounding COVID-19. Despite Essity’s highly robust income statement and balance sheet for 2019, there were grounds to exercise particular caution.   Essity has remained strong with a continued healthy cash flow in 2020. The company has a strong balance sheet and financial flexibility.

    The Nomination Committee proposes unchanged Board fees

    As a consequence of the situation concerning the coronavirus pandemic, Essity’s Nomination Committee has decided to withdraw its proposal that Essity’s Annual General Meeting on April 2, 2020 approve an increase in Board fees (item 11 on the agenda).Instead, the Nomination Committee proposes unchanged Board fees compared with 2019. The Nomination Committee’s all other proposals to the Annual General Meeting remain unchanged.

    Essity’s Board of Directors proposes postponement of dividend decision

    At the Annual General Meeting on April 2, 2020, the Board of Directors will propose that the Meeting postpones a decision regarding the dividend for 2019 until an Extraordinary General Meeting no later than November 2020. The Board of Directors’ previous assessment of a dividend of SEK 6.25 per share remains.
