SkartaNYAB Plc: Board of Directors decided on the closing of the NYAB transaction – changes in the name and members of the Board of Directors

SkartaNYAB Plc (former Skarta Group Plc, “Company”) announced on 16 December 2021 that it has signed a share exchange agreement, according to which it acquires all shares in NYAB Sverige AB. Structuring of the transaction was clarified in February, as presented in the company announcement released on 21 February 2022. Board of Directors of the Company has today confirmed that all prerequisites for the transaction have been fulfilled and decided on the closing of the transaction.

As a part of the closing, Board of Directors has decided on a share issue directed to NYAB Sverige AB’s shareholders and approved the share subscriptions. The share issue will increase the total number of shares of the Company to 702,641,888 shares. The new shares are filed for registration in the trade register without delay. Trading of the new shares will begin at Nasdaq First North Growth Market when they have been registered and Nasdaq Helsinki Ltd has admitted them to trading.

Closing of the transaction having taken place, the name of the Company has changed to SkartaNYAB Plc. The new name is filed for registration in the trade register without delay. Resolutions of the EGM that was held on 17 March 2022 regarding the Board of Directors of the Company have also become valid. Board members are Markku Kankaala, Jukka Juola, Johan Larsson, Johan K Nilsson, Mikael Ritola, Aarne Simula, and Jari Suominen.

Board of Directors has also decided to change the disclosure policy of the Company so that official reporting and disclosure languages of the Company are Finnish and English. Up-to-date information on the Company is available at www.skartanyab.com.
