The board of directors of Scandi Standard has resolved on acquisitions of own shares

The board of directors of Scandi Standard AB (publ) has, based on the authorisation from the annual general meeting 2019, resolved that the company may acquire a maximum of 150,000 own shares on Nasdaq Stockholm. The purpose of acquisitions of own shares shall be to secure delivery of shares to the participants in LTIP 2019 or to hedge costs related to LTIP 2019.

Terms and conditions for acquisitions of own shares
According to the board of directors’ resolution, any acquisitions of own shares shall be made on Nasdaq Stockholm in accordance with Nasdaq Stockholm’s Rule Book for Issuers and the following terms and conditions.

  • Acquisitions may be made on one or several occasions before the annual general meeting 2020.
  • A maximum of 150,000 shares in the company may be acquired. However, the company’s holding of own shares may not at any time exceed one tenth of all shares in the company.
  • Acquisitions shall be made at a price within the registered price interval at any given time.
  • Acquired shares shall be paid in cash.

Total number of shares in the company and the company’s holding of own shares
As of today, the total number of shares in the company is 66,060,890 shares. The company holds 742,425 own shares.

Reporting of completed acquisitions of own shares
Completed acquisitions of own shares will be reported in accordance with applicable laws and regulations as well as Nasdaq Stockholm’s Rule Book for Issuers.
