Starbreeze’ Nomination Committee proposes strengthening the board with the addition of two gaming veterans to further support Starbreeze’ strategy and growth

Starbreeze’ Nomination Committee proposes gaming veterans Jon Gillard and Juergen Goeldner as new board members. Martin Walfisz will resign at his own request from the board as he assumes his role as CEO of Thunderful Group AB. Starbreeze intends to call for an extraordinary general meeting on September 27th, 2023 to resolve on the Nomination Committee’s proposal.

Starbreeze’s Nomination Committee consisting of Michael Hjorth, chairman (appointed by Digital Bros S.p.A and Indian Nation AB), Caroline Sjösten (appointed by Swedbank Robur Fonder AB), Anna Magnusson (appointed by Första AP-fonden) and Torgny Hellström (chairman of the board) makes the following proposal for additions to the board to further support the strategy and growth of the company.

Jon Gillard, born 1966, studies in Physics, Chemistry, Math and Computing at degree level Oxford Brookes University
Jon is a UK citizen and has been 35 years in the gaming industry with Games Workshop where he has held several executive positions. He left Games Workshop earlier this year where for the last 12 years he was Global Head (EVP) of Licensing and is now a business consultant and investor.

Juergen Goeldner, born 1953, studies in education and psychology at German University in Darmstadt
Juergen is a German citizen and has spent 40 years in the gaming industry and has had several executive positions. His last executive position was as CEO of Focus Home Interactive. Juergen today is a business consultant and investor.

The Nomination Committee deems both Jon Gillard and Juergen Goeldner as independent from Starbreeze, its management and larger shareholders.

Following Martin Walfisz’s resignation and the extra ordinary meeting resolving as proposed by the Nomination Committee, the board would be comprised of Torgny Hellström (chairman), Christine Rankin, Anna Lagerborg, Thomas Lindgren, Jon Gillard and Juergen Goeldner.

The nomination committee proposes that compensation for additional board members be paid in accordance with the resolution of the Annual General Meeting, of SEK 260,000 per board member.
