    Addtech acquires Coel Motori S.r.l.

    Addtech Industrial Solutions, a business area in the Addtech Group, has today signed an agreement to acquire 100 % of the shares outstanding in Coel Motori S.r.l. (“Coel”). Coel is a manufacturer and supplier of electric break motors and patented brake modules for industrial applications in the European market. Coel has 24 employees and a turnover of approximately EUR 8 million with headquarters in Milano, Italy.     Addtech Electrification, a business area in the Addtech Group, has today signed an agreement to acquire 100 % of the shares outstanding in Nanosystec GmbH (”Nanosystec”). Nanosystec develops, produces and sells production equipment primarily for manufacture of opto-electronics and precision mechanics to customers in the data communications, medical technology and semiconductor industries.     Addtech Energy, a business area in the Addtech Group, has today signed an agreement to acquire 100 % of the shares outstanding in Unilite A/S (”Unilite”). Unilite develops, manufactures and sells energy-efficient fire safety- and ventilation solutions for industrial, commercial and public buildings. The company has 78 employees and a turnover of approximately DKK 210 million and is headquartered in Hobro, Denmark.     Share-based incentive scheme

    In the share-based incentive scheme resolved by the 2024 Annual General Meeting, that comprised about 150 members of management, in total 639,925 call options were subscribed for. The call options are transferred at a price of SEK 48.80 per call option, equivalent to the market value according to an external independent valuation, applying the Black & Scholes model.     During the month of May, the number of shares in Addtech AB has changed due to shareholders request for conversion of 21,360 class A shares to corresponding number of class B shares.
